Board memo prep.

The 45-minute workflow that produces a board-ready memo. Three steps: structure, narrative, one hard question you don't want asked.

CADENCE · PER BOARD MEETING · 45 MIN

Good board memos are read cover-to-cover before the meeting. Bad ones get skimmed in the room. The difference is structure + specificity + willingness to name the hard thing before your board does. This workflow encodes that discipline into three prompts. Use raw material from your metrics, hiring status, financial dashboard, and product roadmap.

STEP 01

Structure the memo

Goal: Standard board memo skeleton with your specific facts populated.

THE PROMPT

Board memo for [next meeting date]. Here's the raw material: [paste business context, metrics, key events]. Produce a board memo with these sections: (1) TL;DR + 2 asks, (2) State of the business, (3) Strategic priorities update, (4) Financials, (5) Team, (6) Risks + mitigations, (7) What we're asking from the board. 4-6 pages max.

[business context]

STEP 02

Test the narrative

Goal: Read the memo as a board member — what's unclear or missing?

THE PROMPT

Read the memo above as a smart board member who has 15 minutes to prep. What's unclear, missing, or would prompt a follow-up question that you'd rather answer proactively in the memo?

EXPECTED OUTPUT · REPRESENTATIVE
(context from prior steps)

STEP 03

Name the hard question

Goal: The one hard thing you'd rather not have the board ask.

THE PROMPT

What's the ONE hard question about the business that you'd rather the board not ask? Draft the honest paragraph answering it — include it in the memo. Preempting the tough question in writing is almost always better than being caught with it in person.

EXPECTED OUTPUT · REPRESENTATIVE
(context from prior steps)

THE COMPOUNDING PART

Repeatability, not cleverness.

HANDOFFS

What lives where when the workflow finishes.

Send memo 72 hours before the meeting. Include a note that written questions in advance are welcome and will get addressed first. Board members who read it thoroughly will do that.

VARIATIONS

The same shape, different jobs.

  • Investor version (non-board): same structure, less governance-heavy, add a specific ask each time.
  • Team quarterly-review version: internal audience, add shout-outs section, cut the asks.
  • Advisor version: shorter (TL;DR + one specific ask), sent to individual advisors.

Try this workflow once. Then decide if it earns a recurring slot.

The value compounds after the third run, not the first.
